CorelDRAW Perpetual Pro Edition Licenses – Upgrade Plan
If You have purchased a Pro Edition License SKU for CorelDRAW (“Pro Edition License”) under a Perpetual License, Your use of the Software under this License SKU is governed by the Corel End User License Agreement (“EULA”), available at https://www.corel.com/en/eula/, including the Licensing Metrics section, which details License Types, Usage Limits, and other licensing terms.
This document sets forth the Upgrade Plan applicable to Pro Edition Licenses purchased under a Perpetual License and is incorporated by reference into the Order Form or License Certificate that accompanies Your purchase. Any capitalized terms used but not defined in this document shall have the meanings set forth in the EULA.
1. DEFINITIONS

1.2. "Upgrade Plan" means the right to receive new Versions of the Software under a Pro Edition License purchased under a Perpetual License, as described in Section 3, during the applicable Upgrade Period. The Upgrade Plan is included for a limited term with Your initial purchase, as stated in the License Certificate. After this term ends, continued access to new Versions requires the separate purchase of additional Upgrade Plan.
1.3. "Upgrade Period" means the time period during which Corel provides new Versions of the Software under valid Upgrade Plan. Unless otherwise specified in the License Certificate, the initial Upgrade Period begins on the date of purchase of the Perpetual License and continues for the term stated in the License Certificate. If you purchase a renewal Upgrade Plan, the renewal Upgrade Period begins and ends as specified in the applicable renewal License Certificate.
1.4. "Upgrade Price" means the then-current suggested per seat list price, as published by Corel or a Corel Authorized Reseller, for renewal of the Upgrade Plan associated with a Pro Edition License purchased under a Perpetual License.
1.5 “Version” means a variant of the Software that Corel may release and market from time to time as a distinct licensed product, typically designed by a version number change in the Software immediately to either the right or the left of the decimal (e.g. version 5.1 to 6.0, or version 6.0 to 6.1).
2. APPLICATION

These Terms apply only to Pro Edition Licenses acquired under a Perpetual License and do not apply to any other licensing model. Upgrade Plans are provided for the limited duration specified in the License Certificate and must be renewed to continue receiving access to new Versions beyond that term.
3. UPGRADE PLAN

3.1. Scope. During the Upgrade Period, Corel will provide the following benefits for Pro Edition Licenses under a Perpetual License, subject to the terms and conditions of the EULA:

(i) Access to new Versions of the Software as and when they are made generally available by Corel.
(ii) The right to install and use such Versions in place of previously licensed Versions, up to the number of Software Licenses covered by a valid Upgrade Plan; and
(iii) Each new Version may available under these terms is subject to the then-current version of the EULA applicable at the time of its release, which may be updated by Corel from time to time.
3.2. Lapse and Reinstatement. If You allow Your Upgrade Plan to lapse following the initial Upgrade Period included with a Perpetual License, You will not be permitted to reinstate the Upgrade Plan by purchasing a renewal. Instead, to regain access to new Versions, You must purchase a new Pro Edition Perpetual License, which includes an initial one-year Upgrade Plan. Subsequent Upgrade Plans may then be renewed for consecutive terms following that initial period.
3.3 Limitations. Corel does not guarantee that new Versions will be released for the Software during any Upgrade Period or, if so released, when such Versions will be made commercially available.

4. TERMINATION

Corel may terminate or suspend Your Upgrade Plan at any time, with or without notice to You, in the event You breach these Terms, including, without limitation, a breach of Your obligation to pay all applicable fees when they become due. Upon termination, Corel’s obligation to provide the benefits under the Upgrade Plan shall immediately terminate.
5. Updates and Amendments.

Corel may update or amend this Upgrade Plan document from time to time. Updates will be communicated through Corel’s standard channels and will apply to all Pro Edition Licenses under a Perpetual License from the effective date specified in the update. Continued use of the Software after such updates constitutes acceptance of the updated terms.
